    ok npo ako sir noy unti unti ko mpo naiintindihan ang BOD at officers ng hoa..nalito lng po tlga ako being a first timer pres of our hoa..habang binabasa ko din po yung iba nyong replies sa ibat ibang nagtatanong i slowly made me learn more po..hwag po kayong magsawa sa katatanong ko po..for i consider you ( if you dont mind)as my resource person..GOD BLESS YOU PO.

      Hi Mam. Dapat sundin ang korum sa anumang miting ng hoa, board meeting man yan or GA meeting. Kung absent ang inyong hoa pres sa board meeting dapat sundin at igalang ang napagkaisahan sa miting bastat may kurom. In the absence of the hoa pres the vice pres or majority of the board can call a meetibg as per your bylaws. Thank you and God bless.

      Hi po. Hindi po maaring basta angkinin ang isang property ng walang legal basis or authority. Mas mainam po na kumunsulta na kayo sa isang lawyer upang maprotektahan ang inyong mga karapatan. Thank you and God bless.

    Need po ba na dapat 50% nang kabuuang kabahayan na ang occupied ng mga homeowners bago magkaroon ng HOA?

      Hi John Aldrin. Sa pagkaalam ko kapag tapos na ang major development ng subd gaya ng mga kalsada, common spaces, facilities at amenities pwede na magbuo ng isang HOA. Usually ang nag i-initiate niyan ay ang owner/developer kasi mandated sila ng batas para magbuo ng HOA under PD 957. So makipag-ugnayan lang po kayo sa owner/developer (kung wala pang HOA) at sa tingin ninyo ay fully developed na ang inyong subd at posible na magbuo ng asosasyon halimbawa meron na at least 25% occupants or less or as per dhsud.       Hi Mam. Kapag elected ang BOD-Secretary di basta mareremove yan ng HOA Pres Kapag appointed siya dapat with concurrence ng majority ng BODs ang removal. Usually binibigyan yan ng letter ang sinumang officer to explain hid/her side at maaring mabigyan muna ng warning as per your rules and regulations/Bylaws kapag meron violation.     Bro Noy, Ano ang epekto kung and elected board of directors ay walang na submit na election reports sa DHSUD? Can we still consider them as official BOD wherein fact they failed to comply the requirements of the Magna Carta of Homeowners?

      @@luiladra-fv6pq Hi po. Cite niyo po ang sec. 98 ng new IRR RA 9904. Within fifteen (15) days from the date of any regular or special election, the Election Committee shall submit election reports to the Regional Office: Take note niyo po yung "shal submit" as mandatory. Although wala pong word na mababasa na kapag di nagsubmit hindi na recognized ang new elected BODs. Kaya nga po need nila magpasa ng election related reports within 15 days after election. Ikalawa nakasaad yan sa updated GIS kung sino sino na ang new elected BODs para sa records on file ng region office ng dhsud na nakakasakop po sa inyong HOA. Kaya under sec. 89 ang basehan kung sino lang ang authorized magpatawag ng election ay yung board/Pres/Vice Pres. na nasa records on file sa dhsud regional office.       Thank very much Bro. Noy. Observation ko lng, hindi na nga sila nagpapatawag ng election as stated in their bylaws since 2019 after their terms of office. Ang ginawa na lang nila nag susubmit ng GIS as compliance sa annual reports pero yun nga wala namn silang sinabmit na election report last 2017 until now. Salamat uli Bro. Noy malaking tulong ang vlog mo.

    Sir may tanong lng po ako. Last election po kc na trace namn na may nangyaring multiple votes ang 2 sa tumakbo namin na bod. Nag proxy po sila sa ibang members na hindi nakaboto. Luckily nanalo po sila. Ito po ba ay grounds pra di na sila maka takbo pa sa mga susunod na halalan

      Hi mam. Yes po. Requirement po yan
      na dapat laging may quorum ang election. Ito po ay malinaw na nakasaad sa IRR RA 9904. Section 91. Quorum in Elections. At all elections, there must be present or votes cast by majority of the association members in good standing, either in person or by proxy. So simple majority lang ang tinutukoy diyan - 50+1 na MIGS. Thank you and God bless.

      Hi richie Halog. Thank you for your question. Ang basehan po ng pag halal ng hoa pres./chairman of the board ay nakasaad sa Bylaws. Given po sa mga hoa Bylaws na ang officers ng hoa (hal. Hoa pres) ay elected from among the bods. hindi po ina-appoint ang presidente ng hoa. Meron din pong mga qualifications yan. Pakitingnan po ang inyong Bylaws at yun ang masusunod.     Good evening po sir Noy, ako po ulit ibahagi ko yung kasalukuyan na gusto mangyari ng mga office namin sa darating na Nov,62021 mag kakaruon ng meeting regarding sa generation ng individual water meter namin at ipakilala yung mga tatakbong officer, bali kami ang opposition ang kaso pag katapus ng meeting election agad at sila ang mag handel ng halalan, diba hindi pwd na sila ang mamahala ng halalan.diba hindi pwd yun dapat hindi sila mag handel tama ba ako.

      Hi Sir. Yes po tama po kayo. Kung ang tinutukoy ninyo na mag handle ng election ay BODs raise up po ninyo yan sa GA miting. Sundin dapat ang election date ninyo as set forth in your Bylaws kapag regular election yan. Cite po ninyo provision sa inyong By-laws about the date and time of your regular HOA election. Kasi hindi agad agad ginaganap ang isang election. Sa pagkaalam ko ang proper committee na authorized to conduct your election is your ELECOM. Given po yan sa lahat halos ng HOA By-laws.       Hi Jec Daily TV. Sorry I had overlooked your question. Yes separate po sila in terms of their functions although almost all of the officers are also BOD's. Makikita niyo po yan sa inyong Bylaws. Sa botohan naman yes magkakasama silang nag dedesisyon both as BOD's and officers. May specific function lang ang officers like the President who presides the meeting, the Secretary keep the records of the association etc. The BOD's act as a collegial body and not as an individual BOD. (sec. 23 revised Corp. Code of the Phil.) Thank you and God bless.

    Sir request clarification regarding RULE XI, paragraph g of Section 79 - Duties and Responsibilities of the Board which states that "The Board shall act in all instances on behalf of the association, except to amend the Articles of Incorporation and Bylaws, to dissolve the association, to elect members of the Board or to determine the qualifications, powers and duties, and/or terms of office of the Board, and other instances that require the vote or approval of the members themselves" , anu ba talaga ang karapatan ng BOARD sa pag amyenda...maraming salamat sir..       Hi Ricky Ellima. Thank you for your question. In my own understanding, ang ginagampanan po ng BODs sa pag amyenda ng HOA By-laws ay sila ang nag initiate ng proposal to amend the By-laws at aaprubahan nila yan muna by a majority of all the members of the board. After which i-present nila yan sa regular/special G.A. meeting for final approval by majority of all the HOA members regardless of standing (sec. 23 Rule IV IRR RA 9904). Saka pa lang yan magiging valid and binding kapag inaprubahan na sa GA. Kasi G.A. po ang may final approval ng By-laws ayon sa ibig sabihin ng nakasaad sa sec. 79 (g) Rule XI IRR RA 9904 in relation to amendment of By-laws. Thank you. Naway nakapagbigay linaw po ito sa inyong katanungan. God bless.

      Hi Lydia Sandoval. Ang gampanin ng Pres to Sgt at Arms ay indicated po yan sa HOA Bylaws. Andun po ang specific functions ng officers like Pres, Vice-Pres, Sec. Treas. Auditor etc. Kasi po ang BOD ay yun din ang mga hoa officers except those officers na hindi bod. BOD manages hoa affairs as in general or collective function. Thank you and God bless.

Kapag rehistrado na ang isang HOA sa DHSUD (formerly HLURB) at sa BIR dun pa lang nagiging legal ang pangongolekta ng association dues, assessment fees etc. ikalawa yung pangongolekta like parking fees, yan ay na brought out dapat sa Gen. Assembly meeting at ratified ng majority of members na MIGS prior to its implementation at may BOD resolution yan na duly approved din ng majority members ng BOD. Salamat at nawa'y nakatulong ito sa inyong katanungan. God bless.

Sa ganyan pong problema para sa akin ay idulog niyo po muna sa inyong BOD Pres. o HOA officers upang mapag-usapan po yan ng maayos lalo kung involve ang isang BOD member. I can not comment further kasi po hindi ko alam ang buong detalye ng problema. Regarding sa pag ban ng isang tao na pumasok sa subd. or in your case yung katulong gaya ng inyong binanggit medyo maselan na usapin po yan kasi may mga karapatan na dapat i-consider diyan. Usually po ang elected BODs elect from among themselves association officers such as pres, vice pres, sec, treas at auditors. Yan po ang set up ngayon ng mga HOA.       Hi Carol Fabia. Thanks for the question. Ang pagkakaiba ng function ng bod sa association officers ay ganito. The bod act together as a collegial body in a lawful meeting. Meaning they must act together as a body and not as an individual board of director. (sec. 23 revised Corp. Code of the Phil.) Ang desisyon na ginagawa nila kapag may quorum is a valid corporate act. Ang hoa officers naman ay umaakto ayon sa kanilang specific duties/functions depende sa kanilang posisyon like the hoa Pres who presides the meeting, Secretay keep the records of the association etc. Ganun din sa Treas. at Auditor with specific functions din. Given at indicated po yan sa inyong bylaws. The bod is the policy making body while the association officers implements the policy. Hope nakatulong po ito sa inyong katanungan.       Bod as policy making ay kailangan po isangguni sa buong HOA or Tru resolution po? San or ano ano lang po puwedeng pagdesisyunan Ng bod na Hindi na kailangan Ng votes Ng majority po?     @HOA Files Hello Brother Noy, Kamusta po kayo? Sana healthy kayo during this trying times. Pinag prepray ko po na sana pumasa kayo sa BAR exam cause we need more lawyers like you. Quick question lang po. Yung HOA officers namen 7 years na sila dito sa village namen, walang By-Laws, hinde rin registered sa HLURB or DHSUD and hinde ko alam kung ano pa mga tinatago nila.       Hi Amber Linsangan. Sorry po for the late reply. Para po sa akin ang magandang course of action na pwede niyong gawen ay idulog niyo muna sa DHSUD kasi may usapin po sa registration ng HOA. Then sila po ang magsasabi kung anu po ang next ninyong aksyon na gagawen. Sa pagkaalam ko po lahat ng HOA ay need irehistro sa DHSUD except dun sa for transfer lang ang registration. As per DHSUD, All HOAs are required to register with the Department or DHSUD. UNREGISTERED HOAs will not be able to avail of DHSUD support services or sue before the HSAC. However, unregistered HOAs can be sued by its members or other parties before the HSAC and the officers may be held personally liable for the obligations and liabilities that will be incurred as a result.       Hi Braulio III Visda. Thanks for your question. Yes po posible po yan na maglagay ang inyong HOA BOD ng isang administrator with specific functions to perform as provided in your Bylaws. Pde niyong alamin sa inyong Bylaws ang kanyang tungkulin. Ang iba kasing malalaking subd. ay naglalagay sila ng tinatawag na Village/Property Manager or other officers as the need arises kagaya nga ng isang administrator. Basically the Board manages HOA affairs. Given po yan under sec. 4 (h) IRR RA 9904. Dapat ang trabaho niya as administrator ay hindi taliwas o lampas sa kanyang job description. Kung meron pagmamalabis sa gampanin pde niyo po iparating sa inyong HOA offficers and they will be the one to take appropriate action for that matter. Nawa'y nakatulong po ito sa inyong katanungan. Regarding Rules and Regulations yan po ay dapat aprubado muna ng simple majority of members in a GA meeting called for that purpose (sec. 67 (a) Rule XI Revised IRR of RA 9904). Para po sa issue ng transparency at updating ng HOA programs and activities. Yung ibang HOA sa bulletin board ang posting yung iba naman sa social media platform. Medyo matrabaho nga lang yan sa mga HOA officers. Ang normal practice ngayon ng mga HOA ay naka ready lang ang mga book of accounts etc. like F.S. o minutes of meeting para sa mga MIGS na nais tingnan ang mga libro ng asosasyon during office hours.       Hi Pancake Echon. Sorry for the late reply. Ang proseso po ng termination o pag-aalis ng isang kasapi ng HOA ay dapat with causes provided in your Bylaws at meron "due process". Very fundamental po ang requirement ng due process. In other words bago i-terminate ang isang member dapat meron munang due notice and hearing. Sa DHSUD model Bylaws meron po dun provision of expulsion of member/s. Pwede niyo po i-adopt yun sa inyong Bylaws by way of an amendment kung wala pa sa provision ng inyong Bylaws para malinaw. Para sa akin pwede po yun na kayo ang mag exercise ng karapatan ng inyong anak sa kanyang membership sa HOA by way of an SPA for that purpose kung kayo na ang nakatira diyan sa unit. Pero kung magkasama kayong nakatira sa bahay ng inyong anak ang maari niyong e-exercise ay bomoto as proxy niya dahil sa SPA. Iyan dapat ay nakasaad sa inyong Bylaws.     Good pm po HOA FILES.. what if po ang Press., Treasurer at Auditor ng HOA ay magkakaalyado, magkakaibigan at laging magkakampi, nag apoint po sika ng secretary ,pinaayos nila mga docs na needed at nagawa po nmn ng maayos at mabilis. Kaya lamang alam po ni appointed secretary ang kanyang mga duties and responsibilities is to keep the record and files of HOA. then nag petition ang BOD to remove the appointed sec. sa kadahilanan ayaw nito ibigay sa kanila ung mga original record ng files pero pinakita nmn ito sa kanila at binigyan sila ng Certified tru copy each.. legal po ba na cya ay tangalin sa ganung dahilan? Lagi po nila reason ay majority wins.. 3:2 ratio po palagi ang boto at lumalabas na silang tatlo kang lagi nasusunod .. aalisin nila kapag hindi sumusunod sa jagustuhan nila ang secretary kahit wala nmn mali sa kanyang ginawa.. sana po matulungan nyo kami kasi parang manipulation n ang nagyayari kunwari lang dadaanin sa botohan na majority

      Hi Iya_palyz13. Sorry po for the late reply. Para sa akin if the BOD requested original records of HOA for their perusal wala naman problema yun. Kung meron iba pang dahilan at hal. gusto ilabas ang records need ng BOD to execute a request letter about the purpose of disclosure of hoa records kasi baka maapektuhan ang privacy ng members regarding their personal information. Para naman may justification ang secretary for such release of records. Pero kung titingnan lang naman pde ipakita sa BOD kasi it is a right of every member in good standing including BOD/officers to inspect association books. Given po yan sa HOA Bylaws at sa IRR RA 9904 Section 11 (b) Rights of a Member. - A member in good standing shall have the right to "Inspect association books and records during office hours and to be provided upon request with annual reports, including financial statements"; Regarding sa vote of majority ng BOD ang proper way para mabago ang ganyang sistema as what you have stated, is election for next BOD sa GA. Dun niyo na lang express your sentiment to change the system. Termination of any officer or member should be done with causes provided in the Bylaws. Hindi po bastat nagterminate ng isang officer or even member without just cause. Thank you.     Sir may tanung po ako . kung may monthly dues akong binabayaran. kasama na ba yung bayad dun sa guard ng lugar namin. kasi iba pa yung monthly dues at iba pa yung bayad sa guard na sinisingil nila. at kahit dumaan pandemic ay naniningil sila .kahit wala lahat na trabaho. 200 pesos ang singil sa amin para sa guard sa bawat isa sa amin . tapos mag babayad pa kami ng monthly dues

Ang monthly dues yun na yung pondo ng hoa para sa maintenance ng subd kasama na diyan security at community services para sa mga residente ng subd.       Hi po. Nasa inyong bylaws po kung paanu piliin ang isang hoa officer like in your case as auditor. Usually po elected ang mga officers ng HOA. Ang nag eelect niyan ay sila-sila rin mga elected bods during a meeting called for that purpose and with a quorum. Unless nag resign o incapacitated ang isang hoa oficer saka pa lang maaring mag appoint o mag elect as per your Bylaws. Thank you and God bless.

Ang botohan ng Chairman of the Board at Vice-Chairman of the board at iba pang opisyales gaya ng Secretary, Treasurer, Auditorat iba pa ay nakasaad yan sa HOA bylaws. Paki tingnan na lang po ang inyong bylaws. Ganito ang nakasaad: The officers of the association shall be the President, Vice-President, Secretary, Treasurer, Auditor and such other officers as may from time be determined by the Board xxx." The officers mentioned in Section xxx " hereof shall be elected at the annual meeting of the Board held immediately after the annual meeting of members xxx". Mababasa niyo po yan under sa Article ng "OFFICERS". Ang election ng officers ay isinasagawa after ng BOD election sa G.A. Thank you and God bless.

Meron per diems na allowed dun lang sa other officers na hindi kabilang sa BOD position. Given po yan sa mga HOA bylaws.       Hi Alexander Sta Ana. Thanks for your question. Kung 1998 pa registered ang inyong HOA either sa SEC o HIGC need yan i-enroll or re-register with the DHSUD. But HOAs registered with the HLURB need not to enroll or re-register with the DHSUD. Instead i-transfer lang po ang records ng regs ninyo sa DHSUD. Ikalawa gaya po ng kasagutan ko sa inyong naunang katanungan na dapat mabigyan niyo po muna ng response yung show cause order then antayin po ang desisyon ng DHSUD regional office. Sa aking pagkaalam hindi po bastat pinapalitan ang pangalan ng asosasyon once narehistro na po ito sa DHSUD. Unless cguro na dissolve ang iyong HOA either by voluntary or involuntary dissolution under sec. 38 Rule 7 IRR of RA 9904. Ang registration o kaya pagpapalit ng pangalan ng HOA ay need po yan aprubahan ng DHSUD. Kaya po sa inyong concern bibigyan po kayo ng guidance ng DHSUD. Salamat po and God bless.

Makikita rin po yan sa guide Bylaws ng DHSUD under sec. 5 (a) to (g) Art. V. Kung may pagbabago na uli sa composition ng inyong BOD pwede niyo ilagay sa inyong Gen. Meron din sa HOA mga special committees chairpersons and secretaries sa bawat committee. Of course with committee members. (refer sec. 50 to 51 Rule 9 IRR RA 9904 or Magnacarta of Homeowners and Homeowners association) at given po din yan sa mga bylaws ng HOA. Hope nakatulong po ito sa inyong katanungan. God bless.

Ang pagbubuo ng HOA usually ay initiated by the owner/developer ng subd. Organization of Homeowners Association. -The owner or developer of a subdivision project or condominium project shall initiate the organization of a homeowners association among the buyers and residents of the projects for the purpose of promoting and protecting their mutual interest and assist in their community development.       @@florafe-ashmisa5408 pagkakasunduan lang po yan ng mga incorporators na nagparehistro ng hoa kung sino sino bubuo ng interim bods. Nasa articles of incorporators naman po yan at Gen Information Sheet nakasulat ang mga tumatayong interim bods. Wala pong mag aappoint niyan. Thank you ang God bless

    Sir sa isang subdivision na bago pa lang ano dapat unahin buuhin BOD po ba or HOA?

      Hi Arnold Coquia. Thank you for your question. Sa pagbuo ng HOA unahin po muna ninyo ang pagbuo ng incorporators mula 5 at hanggang 15 at dun pa lang kayo pipili ng tatayong Interim BODs na hal. 5, 7, 9, 13 o 15. Kapag nabuo na ang mga incorporators (mga nagpasimula/organisa) saka pa lang ninyo bubuuin ang inyong Homeowners Association o HOA. Susunod diyan ay ang pagsumite ng mga requirements na ipapasa sa DHSUD for registration then sa BIR para sa issuance ng mga O.R. sa association dues. Thank you.     Good evening sir, si Ricky po uli ng Cavite, regarding po sa pagkuha ng BIR or TIN Nr sa BIR, npakarami pong requirements, but it should be complied or followed, however sir, under RA 9904, SEC. 18. Relationship with LGUs. -
    " In recognition of the associations’ efforts to assist the LGUs in providing such basic services, association dues and income derived from rentals of their facilities shall be tax-exempt: Provided, that such income and dues shall be used for the cleanliness, safety, security and other basic services needed by the members, including the maintenance of the facilities of their respective subdivisions or villages."

      Hi Ricky Elima. Thank you for your question. Yes po pwede niyo po i-apply ang provision na yan for tax exemption ng inyong HOA. Pero meron pong mga requirements yan.     Sir Good Evening po..yung last officer po namin is 2016 pa.. so 5 yrs po kami walang HOA .. Last Feb.28..nag conduct po kami ng eleksyon and maganda naman ang naging result 358 out of 700 po ang bumoto.. ang question ko po ay ...tama po ba ang ginawa namin na hindi na kami humingi ng authorization sa HLuRB..nag diresto election na kami.. nagpasa naman na po kami ng mga requirements pero wala po yung authorization na galing sa HLURB ..sa tingin nyo po..valid pa rin po ba yung election na gunawa namin last Feb.28, 2021? Salamat po.

      Hi Sir Vergel Enanoria una thanks for your question. As far as I know it is within the powers/duties and responsibilities of BOD to implement the bylaws ng inyong HOA (sec. 54 (f) Rule 9 IRR 9904). One of this is to call an election as per your bylaws. Given po yan. Same with the Election committee tasked to conduct and supervised HOA elections. Sa kanila po muna nanggagaling ang initiative sa HOA election. May mga cases na po na decided ng HLURB regarding invalid elections. Since ayon po sa inyo ay nakapag conduct kayo ng election with your own initiative at nakapag submit rin kayo ng after election reports at assuming na comply din ninyo ang requirements ng DHSUD on elections during extra-ordinary circumstances, ang DHSUD na po ang may final say niyan whether or not your election conducted is valid.       In addition although ang past BOD ninyo ay hindi na gumaganap ayon sa inyo need niyo pa rin iparating sa DHSUD regarding your HOA situation. Para sila na ang bahala anu ang inyong nararapat gawen.

Para sa akin ang mag-asawa o magkakamag-anak na uupong BOD sa HOA ay magkakaroon ng conflict of interest regarding the impartiality of decision making ng BOD/Officers. conflict of interest is provided under sec. 3 Article II of Code of Ethics and Ethical Standard for BOD/Officers ng HOA. Dapat sa Elecom pa lang ay nasasala na yan bago pa mahalal as BOD. Thank you hope nakatulong po ito sa inyong katanungan. God bless.

Normally po ang pag elect sa HOA officers ay sila-sila po na mga elected BODs ang nag-eelect ng officers gaya ng Pres, VPres., Sec, Treas at Auditor.     Thank you for your segment. Tanong lang. Paano kung yon condo namin ay walang HOA established my condo owners. Ang developers at ka ilang administration ang nagcocontrol nang pera pero di nila inaayos ang condo. Ayaw magpakita nang financial statements para patunayan kung saan pumupunta ang pera namin. Ayaw din nila implement ang rules & regulations. Kung mag meeeting sila, hindi invited ang condo owners. Ano ang suggestions/recommendations nila. Thank you.

      Hi N Marceln..thanks for your questions. Para po sa akin advisable po na magkaroon kayo ng tinatawag na Condominium Corporation (Condo Corp) na binubuo ng condo unit owners ng isang condo project. Yan kasi ang management body ng isang condo project. Sa Condo Corp. meron yan elected Board of Directors/Trustees or officers na namamahala sa inyong Condo Corp. at bukod sa master deed, kagaya ng HOA ay may Bylaws din na sinusunod. So kung meron kayo niyan yung mga concerns na binanggit niyo po ay madaling matugunan like financial accountability at participation ng mga unit owners sa mga meetings and elections. Ang alam ko may jurisdiction ang DHSUD sa condominiums regarding diyan sa inyong sitwasyon lalo na wala pa kayo condo corp. na nabuo. Kasi baka later mangailangan na kayo ng lawyer for your cause.
