The slight of hand mind trick here is that people easily conflate registering an agent with a requirement that the agent is some specially registered entity. This video explains it best. I even got tricked by the same gimmick at first.
Exactly. What's really going on is that people think "Registered Agent" means "Commercial Registered Agent", as in a company you must hire and pay. And that is not correct. It's optional. A Registered Agent is a person or company that you authorize to receive service of process (legal documents) and sometimes state correspondence on behalf of your LLC. But a Registered Agent can be yourself, a friend, a family member, you accountant, etc. As long as they reside in the state where your LLC is formed.

Hey Nino, if you're going to be the Registered Agent for your LLC and use the office/business address you've rented, I always prefer when the business owner is okay with using the address as the Registered Agent. However, not all mailbox rental owners are familiar with LLCs and how they are setup. You'll also want to check the state laws where you're forming an LLC, as a few states specifically don't allow use of mailbox/virtual office for the Registered Agent address. Hope that helps.
I really appreciate the videos you have posted. I hesitate to use online services because of all the options and bundles. Truth is my lack of knowledge made me vulnerable. I have a question which I did not hear you mention in this vid: my residence (street adrdress) in NC does not have a mailbox. It kept getting hit by traffic. Therefor I now use a p.o. Box for all mail. Often times I am out of the office and no one is here to sign for incoming deliveries. Can you please suggest possible solutions to this situation? There's actually a lot of rural route addresses in North Carolina or places where it's harder to get mail, so the state has built their LLC filing form (the Articles of Organization) around that. You can download the form from this page (www.llcuniversity.com/north-carolina-llc/forms/). In #4 you can enter your actual street address (although mail can't be delivered there). Then in #5 you can enter your PO Box. If you look at the Articles of Organization instructions, #4 states "Enter the complete street address of the registered office and the county in which it is located", but #5 states "Enter the complete mailing address of the registered office only if mail is not delivered to the street address shown in Item 4 or if the registered agent prefers to have mail delivered to a P.O. Sure thing :) FYI, in MD, a Registered Agent is called a Resident Agent. The fee to change is $25 and here is the form: www.dat.maryland.gov/SDAT%20Forms/ch_addr.PDF (form is used for all entities, including LLCs). Maryland is slow as molasses (don't ask me why), so it'll take 8-10 weeks for this to get processed. Hope that helps!
If I still live with my parents and start an LLC with the LLC being as their home address (this is an internet company), would their assets be liable at all if the LLC is sued? I started a Virginia LLC and live in NY. I know you recommended against this in a different video. Does it put their assets at risk at all if my company's address is their house?

If you are concerned about what goes on public record, not only will you want to hire a Commercial Registered Agent, but may also want to hire a company, so they sign as the LLC Organizer (www.llcuniversity.com/llc-organizer-vs-member/). And you'll want a Commercial Registered Agent that lets you use their address as your Business Address on the LLC filing (an address in addition to the Registered Agent address). You're very welcome J! The Registered Agent address should't be used for shipping purposes (i.e. the return address). The Registered Agent's purpose is really for service of process (court documents). However, some Registered Agent companies allow their office address to be listed on some LLC state documents (like the filing document and maybe the annual report), however, they don't want to be your "catch-all" mail services. For shipping purposes you could look into a mailbox rental service, such as The UPS Store. If you do a search online for "mailbox rental {city_name}" that may help. Hey Samat! Will your business have a physical presence in the US? Like a retail store or employees? If so, you should form in that state; the state where you're doing business. Great video, thank you. Question: I live in NJ and want to start an LLC in FL. The LLC online application form requires the address of the business as well as that of the registered agent. Since I currently don't have a physical address in FL, would the address of the registered agent also be used for the location of the business. Hi Peter, no, not necessarily. On the Florida Articles of Organization, the only address that must be a Florida address is the Registered Agent. The Principal Place of Business address and Mailing address can be in any state you'd like. Hi Nanii, you're very welcome. What state is your LLC in? In nearly all states (except 2), you need to have a Registered Agent on file in order for the LLC to be approved. It's mostly likely that you are already the Registered Agent for your LLC. If so, you'll need to update it with the state, the IRS, and any other places, like the bank.

So you'd just need to change the address where the Secretary of State forwards mail (no need to add a Registered Agent). You can do this by filing a Certificate of Change. Hello, I payed Northwest registered agent and they formed the LLC for me and their Albany address is on my formation documents. I’ve already filed publication ads in Albany county and waiting for affidavits. I like the fact that my address is private as my business is home based. My question is when I apply for my Sales Tax Certificate of Authority, do I use the Albany address that’s on my formation documents or I do use my actual address? I live in a different county.

Note: you also have to file a Initial Statement of Information (90 days after formation) and one every 2 years, even if you don't change your Registered Agent. What if you form your LLC in a given state, designating the registered office as your permanent residence in that state with yourself as the registered agent in that state... and then... your business is up and running which you can literally do remote and from any physical location (e.g. software programming and consulting), and you chose to sell your residence and all physical holdings in that residence and state - opting to move into an RV, travel the country while conducting your business. How does one maintain that LLC when there is no longer any real state of residence?
Hey Jeff, I hear you on the flexibility aspect. Unfortunately, the states don't cater to this type of lifestyle. It's common to form the LLC in the state where you're a resident, have your driver's license, and pay state taxes. Form the LLC there and then you can still run things remotely.

Yes, you are correct. In agency law, an agent is simply a person who is authorized to act on behalf of another. "Registered" just means its on file with the Secretary of State. In Florida you can just update your Registered Agent information at the time you file your Annual Report (between January 1st and May 1st each year). The LLC Annual Report fee is $138.75, but you have to file and pay this anyway. If you need to update your Registered Agent after that time frame, you can do so here (dos.myflorida.com/sunbiz/manage-business/update-information/registered-agent-or-office/). The fee is $25. You need to order service from that Registered Agent for both LLCs. That may be a separate "order", or depending on the Commercial Registered Agent, they may offer a discount. If you're not talking about a Commercial Registered Agent and you're just referring to a person being the Registered Agent for your LLC, then yes... that person can be the Registered Agent for multiple LLCs, as long as they are a resident of the state where the LLC is being formed (as is the rule in the majority of the states). If you're not going to be present in the state, then you will need a person or a company to be the Registered Agent. Feel free to reply back here after you determine what state you want to file in. I'll give you more info if that states has certain restrictions. You may not need a virtual office. You may be okay with just a Commercial Registered Agent (since it's usually cheaper). However, do you expect packages to be sent? Or do you just need an address for the LLC filing and any documents that state sends? Okay, just curious, any specific reasons you are choosing New Hampshire? In terms of business address and customer returns, that definitely exceeds what a Registered Agent can do. So you'll want an office space or virtual office for that. Now, depending on the virtual office you choose, you can email them and ask if they allow the use of their address (and someone's name) as the New Hampshire Registered Agent. If they do have it, they'll likely add it to your services at no (or little) cost (since they won't be doing much as Registered Agent and you're already paying them).

Hi Suzanne, you should be okay with a PMB (private mailbox)/CMRA (commercial mail receiving agency) for being your Registered Agent in CA. Please note there are no rules specifically allowing or disallowing PMBs in CA's LLC law, so things could change at some point down the road. I don't think it's a big risk though because if you were served, the staff at the UPS store has authorization to sign on your behalf via the USPS Form 1583 signed when opening a box. I recommend calling the store though and see if they have a policy re: being served and having the address listed as the Registered Agent address for your LLC. CA seems to follow the unofficial "as long as it's a street address" rule, so don't use "PMB" in the address, but instead, use Unit, Suite, or #. Hey Nino, if you're going to be the Registered Agent for your LLC and use the office/business address you've rented, I always prefer when the business owner is okay with using the address as the Registered Agent. However, not all mailbox rental owners are familiar with LLCs and how they are setup. You'll also want to check the state laws where you're forming an LLC, as a few states specifically don't allow use of mailbox/virtual office for the Registered Agent address. Hope that helps.

I hesitate to use online services because of all the options and bundles. Truth is my lack of knowledge made me vulnerable.
I have a question which I did not hear you mention in this vid: my residence (street adrdress) in NC does not have a mailbox. It kept getting hit by traffic. Therefor I now use a p.o. Box for all mail. Often times I am out of the office and no one is here to sign for incoming deliveries.

There's actually a lot of rural route addresses in North Carolina or places where it's harder to get mail, so the state has built their LLC filing form (the Articles of Organization) around that. You can download the form from this page (www.llcuniversity.com/north-carolina-llc/forms/). In #4 you can enter your actual street address (although mail can't be delivered there). Then in #5 you can enter your PO Box. If you look at the Articles of Organization instructions, #4 states "Enter the complete street address of the registered office and the county in which it is located", but #5 states "Enter the complete mailing address of the registered office only if mail is not delivered to the street address shown in Item 4 or if the registered agent prefers to have mail delivered to a P.O. The fee to change is $25 and here is the form: www.dat.maryland.gov/SDAT%20Forms/ch_addr.PDF (form is used for all entities, including LLCs). If I still live with my parents and start an LLC with the LLC being as their home address (this is an internet company), would their assets be liable at all if the LLC is sued? I started a Virginia LLC and live in NY. I know you recommended against this in a different video. Does it put their assets at risk at all if my company's address is their house?

You're very welcome J! The Registered Agent address should't be used for shipping purposes (i.e. the return address). The Registered Agent's purpose is really for service of process (court documents). However, some Registered Agent companies allow their office address to be listed on some LLC state documents (like the filing document and maybe the annual report), however, they don't want to be your "catch-all" mail services. For shipping purposes you could look into a mailbox rental service, such as The UPS Store. If you do a search online for "mailbox rental {city_name}" that may help. 1. Depending on the state, usually the only required address is a Registered Agent (not a real address or virtual office).
2. I'm not 100% sure on the answer to this yet. I'd say it's best to have an actual US-based business bank account. We're looking into this though.
3. We can't recommend states. Thanks for understanding. A lot of foreigners do choose Wyoming or Delaware, or states with lower fees. I also recommend speaking with a tax professional familiar with US taxes for foreigners.

Question: I live in NJ and want to start an LLC in FL. The LLC online application form requires the address of the business as well as that of the registered agent. Since I currently don't have a physical address in FL, would the address of the registered agent also be used for the location of the business.
My plan is to move to FL next year but need to set up the company now. I just don't want to have to do the LLC in NJ and then have to move its address to FL.

Hi Peter, no, not necessarily. On the Florida Articles of Organization, the only address that must be a Florida address is the Registered Agent. The Principal Place of Business address and Mailing address can be in any state you'd like. If you'd like for all addresses to be Florida addresses, you can hire Northwest Registered Agent: www.llcuniversity.com/reviews/northwest-registered-agent-llc/ - They'll be your Registered Agent and they also allow you to use their address as the Principal Place of Business address and Mailing address (as an option). It's mostly likely that you are already the Registered Agent for your LLC. Do you need to change the address because you moved? If so, you'll need to update it with the state, the IRS, and any other places, like the bank.

So you'd just need to change the address where the Secretary of State forwards mail (no need to add a Registered Agent). You can do this by filing a Certificate of Change. Hello, I payed Northwest registered agent and they formed the LLC for me and their Albany address is on my formation documents. I’ve already filed publication ads in Albany county and waiting for affidavits. I like the fact that my address is private as my business is home based. My question is when I apply for my Sales Tax Certificate of Authority, do I use the Albany address that’s on my formation documents or I do use my actual address? I live in a different county.

I think you got it your last comment. But I'll reply here again in case this helps someone else. The way to change your Registered Agent in California, is by filing a Statement of Information. Note: you also have to file a Initial Statement of Information (90 days after formation) and one every 2 years, even if you don't change your Registered Agent. You'll need to check with the Commercial Registered Agent for any discounts. But usually service is charged per entity.
What if you form your LLC in a given state, designating the registered office as your permanent residence in that state with yourself as the registered agent in that state... and then... your business is up and running which you can literally do remote and from any physical location (e.g. software programming and consulting), and you chose to sell your residence and all physical holdings in that residence and state - opting to move into an RV, travel the country while conducting your business. How does one maintain that LLC when there is no longer any real state of residence?
Hey Jeff, I hear you on the flexibility aspect. Unfortunately, the states don't cater to this type of lifestyle. It's common to form the LLC in the state where you're a resident, have your driver's license, and pay state taxes. Form the LLC there and then you can still run things remotely.

Yes, you are correct. In agency law, an agent is simply a person who is authorized to act on behalf of another. "Registered" just means its on file with the Secretary of State. In Florida you can just update your Registered Agent information at the time you file your Annual Report (between January 1st and May 1st each year). The LLC Annual Report fee is $138.75, but you have to file and pay this anyway. You need to order service from that Registered Agent for both LLCs. That may be a separate "order", or depending on the Commercial Registered Agent, they may offer a discount. If you're not talking about a Commercial Registered Agent and you're just referring to a person being the Registered Agent for your LLC, then yes... that person can be the Registered Agent for multiple LLCs, as long as they are a resident of the state where the LLC is being formed (as is the rule in the majority of the states). If you're not going to be present in the state, then you will need a person or a company to be the Registered Agent. Feel free to reply back here after you determine what state you want to file in. I'll give you more info if that states has certain restrictions. You may not need a virtual office. You may be okay with just a Commercial Registered Agent (since it's usually cheaper). However, do you expect packages to be sent? Or do you just need an address for the LLC filing and any documents that state sends? Okay, just curious, any specific reasons you are choosing New Hampshire? In terms of business address and customer returns, that definitely exceeds what a Registered Agent can do. So you'll want an office space or virtual office for that. Now, depending on the virtual office you choose, you can email them and ask if they allow the use of their address (and someone's name) as the New Hampshire Registered Agent. If they do have it, they'll likely add it to your services at no (or little) cost (since they won't be doing much as Registered Agent and you're already paying them).

Hi Suzanne, you should be okay with a PMB (private mailbox)/CMRA (commercial mail receiving agency) for being your Registered Agent in CA. Please note there are no rules specifically allowing or disallowing PMBs in CA's LLC law, so things could change at some point down the road. I don't think it's a big risk though because if you were served, the staff at the UPS store has authorization to sign on your behalf via the USPS Form 1583 signed when opening a box. I recommend calling the store though and see if they have a policy re: being served and having the address listed as the Registered Agent address for your LLC. CA seems to follow the unofficial "as long as it's a street address" rule, so don't use "PMB" in the address, but instead, use Unit, Suite, or #.
