    I just created an LLC in Colorado and I received a 49$ credit making it only $1 to start my business prolonging Toyota hybrids in northern Colorado. I know there are certain legal requirements for each city as well. Thanks for this video! You inspired confidence in something I’ve wanted to do the right way for 20years.

      Is this for commercial or residential? I'm not familiar with the ins and outs of your industry. What's the normal range? Overall though, I'd say don't underprice yourself in business. Focus on direct response marketing (I recommend studying copywriting) and charge a fair price.

      @@llcuniversity it's a commercial account. This couple bought a restraunt in Estes Park, it's 4,000 square feet and filthy. I can up with 0.40 per square feet which added to 1,800$. That figure gave 36hrs to clean plus I added 200 for supplies, gas and my insurance. I'm Bonded and Insured

You likely won't need one though for an online business, but the best thing to do is contact your local government agency to check. Such as contacting the city/town and county. Hope that helps.

    Thanks for the vid a lot of helpful info. I currently work at a brewery and I'm trying to set up an employee-owned company to buy it from the current owner. My research revealed basically two paths: the LLC path or the cooperative corporation path. Do you have any thoughts on this? How does the corporation path set up defer from the LLC setup?     What do you recommend for someone starting an LLC who no longer lives in the US? My business is online but I live in Mexico now. The last state we lived in was CO but we have family in KS so we may move back there in a few years. Does it make sense to form the LLC in CO for now or form it in KS? Would I just re-register it in whatever state I end up moving to to avoid franchise fees? Thanks for all of your advice!

      Hey Daniel & Rachel, there are typically 3 ways to "move" an LLC, depending on the states. If you form in Colorado and then later transact business in Kansas, you could dissolve the CO LLC and form a KS LLC, register the CO LLC as a foreign LLC (www.llcuniversity.com/what-is-a-foreign-llc/) in KS, or can file a domestication to "move" the CO LLC to KS and then dissolve the CO LLC. I know that's probably a lot to take it. If you know that you will eventually end up in a certain state, it may be easiest to consider filing there. Hope that helps.

    Great info! I’m wondering, if i use an LLC for my real estate investing, does that affect my credit score? How does that work?

      Thanks :) It all depends on the details of the bank/lender you are working with, but typically, no, it won't affect your credit score. The loan (if in the name of the LLC) also won't appear on your personal credit report either. Hope that helps.

      There are many different factors in the underwriting process, and again, depends on the type of loan, and who it's from. A lot of times, they'll actually run your credit and look at you personally (bank statements, tax returns, person financial statement)... and you might even need to personally guarantee the loan.... but again, not of that gets reported on your credit report. They just look at it all to reduce their own risk. Some will also want to see business tax returns, business bank statements, and other business financials... again, to make sure the loan is safe for them to issue. Best thing to do is call 10 places and start asking for all items them need. It's research time ;-)

    I got my EIN number before the LLC and wasn’t aware I wasn’t registered with the state. What should I do? Do I just get a new EIN number, will that affect taxes or anything ?

      If the LLC was approved with the same name (identical name), you can use the EIN. If they LLC name is different, you can just apply for another EIN. And then cancel the old EIN: www.llcuniversity.com/irs/cancel-ein/

    The video was very helpful. I am going to get started now, but I do have one question. If you have an LLC, can you be the legal owner and do business under another name and still have the protection? I have known Corporations to have a DBA. I was not sure if you can have a DBA with an LLC

      Hi Kim, yes, an LLC can operate using a DBA. A DBA is simply a "nickname" for the LLC. A DBA isn't an entity. The LLC is the entity and therefore has the same protection as an LLC without a DBA. Hope that helps.

    Hi, my business partner is in Nebraka. Should we create an LLC on CO and NE under the business name to cover both or just one state? We will be independent contractors under a drop ship company who does not charge sales tax per law they said. I'm assuming we should we still set aside an amount to cover CO tax correct?

      Hi Jimara, you'll want to speak to an accountant (or a few) regarding where your LLC will have sales tax nexus. There are numerous details. If you're doing business in both states, then the LLC can be formed in one state and then registered as a foreign LLC in the 2nd state.     is the LLC an incorporated business ? We need to get into some business but it requires an incorporated business which I can't find on the Colorado secretary of state web site.

      Typically, an incorporated business is a Corporation, however, the term can also be loosely used to mean any entity. I'd followup on the details and see exactly what they mean.

      Hy Brayan, I'm not sure what you're referring to. When you form an LLC in Colorado (filing with the state), there is no ID type selection or the need to enter your SSN.     I seen that I can use the Business name as the registered agent if you have a business address for the business name. I want to maintain anonymity like Wyoming or Delaware but in Colorado. Is this true?

      Yes, you can list the LLC as it's own Registered Agent. However, if you're looking for anonymity with a CO LLC, you'll want to also consider the addresses used throughout your filing and who signs the document (referred to as the LLC Organizer). There are a ton of addresses in CO filings (RA address, principal office, mailing, person forming, and person signing).
      I recommend hiring a Registered Agent that allows you to use their address as a business address throughout the Articles of Organization. And one that will sign your Articles of Organization for you (and your Periodic Report due every year). We recommend hiring Northwest Registered Agent for this. Like how to build a family trust, then putting a holding company into a family trust, then putting the LLC into the holding company within the Family trust, then starting a LLC that leases all the trademarks, slogans etc to the LLC, so that my main LLC does own anything. If that makes sense. I'm trying to understand all of it before I do anything.

      @@ChrisBurrisMusic - We don't have videos on this, however, you'd create the Trust first. We have attorney recommendations here (www.llcuniversity.com/recommends/asset-protection-and-estate-planning-attorneys/). Once the Trust is created, you then forming the first LLC (the holding company). And you list the Member of Holding Co LLC as the Trust. Then when you form the first child/subsidiary LLC, you make the Member of the child/subsidiary LLC the Holding Co LLC. That's the overview.
      In terms of IP, you can make the IP owned by a child LLC, then the child LLC licenses the IP to another child LLC (also owned by the Holding Co).
      Keep in mind each LLC will needs its own EIN, Operating Agreement, bank account, etc. So it's a lot of admin. work. So it's a balance of asset protection with not going overkill and drowning yourself in admin/paperwork/logistics/organizational work. Hope that helps a bit :)

    Question: I have a year with my small business. This year im planning to hire my first employee. Im trying to use payroll with gusto and they asking a my EIN, type (LLC) my entity name ( done) but at the end they asking me about federal filing form ( it says that the irs assigned me a form ( 941 or 944) i have everything except this how or where can o file for this forms? Thank you

      Hi Anthony, you can call the IRS to check on your filing requirement. 800-829-4933 (option 1, option 1, option 3 to speak to someone). Call at 7am, 7:30am, or 8am for the shortest hold time. You most likely will file Form 940 and Form 941 (not Form 944). You'll also want to ask the IRS about your deposit schedule (ex: monthly, semi-weekly, etc.) as Gusto will ask for this as well.
      Most businesses with employees file 940 (annually) and 941 (quarterly). 944 is used if the LLC's annual liability for social security, Medicare, and withheld federal income taxes is $1,000 or less for the year. Gusto will actually file Form 940 and Form 941 for you (and any state and local employment tax returns). Hope that helps.

      When you form an LLC in Colorado it has to have a designator ("ending"). It must be included. As per Colorado LLC law, the following are allowed:
      LLC
      L.L.C.
      LTD.
      Limited
      LTD. Liability Co.
      LTC. Liability Company
      Limited Liability Co.
      Limited Liability Company

I moved to Colorado from Florida two months ago and while I do hold an address (my apartment) I'm not yet an actual resident of Colorado. I still hold a Florida license, will this affect my ability to form the LLC?

      Hi Matthew, no, your driver's license is not taken into consideration when forming an LLC. It comes down to where the LLC is primarily transacting business (as in where to decide to form the LLC). So if you moved to Colorado and will operate the business from there, a Colorado LLC is likely the way to go. Hope that helps.

    I'm getting ready to form my LLC in Colorado. I was told i also need to complete a Statement of Trade Name, which registers my business name. Is this the same thing.

      Hi Char, that is incorrect. If you are forming an LLC, you don't need a Trade Name (aka DBA, aka Fictitious Name) unless you want your LLC to operate and do business under a name other than its true and legal name.     So I’m a little confused. You said that once you file the articles of organization and submit it your lllc is instantly approved. But then you say to make sure your llc is approved before getting your ein number from the irs? So I already filed the articles of organization and got an email saying it’s been filed. Will I get something else later to know it’s been reviewed and approved? Or is it approved right away and I can go ahead and get the llc ein now? Thanks for the reply in advance :)

      I can see how that is confusing lol. Your Colorado LLC was approved as soon as you submitted your filing online. You can go ahead and get your EIN now. Hope that helps.

    Great Video! Thank you... So, after performing all 5 steps to form an LLC in CO as my own agent and with no employees, if I make $0 revenue the first year, would I owe any taxes? (I apologize if this seems like a dumb question)

      You likely don't owe any taxes, however, you may still need to file a return. You'll need to file a federal return and you may need to file a state return. You'll want to speak to a few accountants, to find one you like, and get a clear picture on what needs to be done. Hope that helps.

      1. Good Standing rRquest Form, fee of $70
      2. Safery Manual Order Form, fee of $295
      3. Labor Law Comliance Notice, fee of $108
      The first one I think I have to do, and I have malled in the check for $70. Do you know if I have to have # 2 & 3 also?

      @@rupy1125 - That all sounds like junk/spam mail. Look closely at the letter(s)... it should say "we are not the government" and "this is not a bill". Do you see that?

      Now that I've read the fine print, they all say things like "optional", "non-government".
      But they almost had me with the bold warning signs like "required by federal law", "fines uptp $7000" .

    Some mailing address recommend fro.Colorado? I use "shipito" from California and that was free to open the llc. But on Colorado look like there is nothing similar.
