Sir I have some doubts :-
1. if Vodafone idea case is amalgamation then why people call it as merger
2. in case of acquisition what is the basic difference between takeover of business, takeover of assets and liabilities and buying 51% shares in the company.
*please explain the second one, I always get confuse in this

I know one of it if a company buys 51% shares of another company then that company gets power of voting rights as total no. Pod share is 100% out of it 51%

Merger term used in broader sense sometimes. Some people also consider that amalgamation is also a type of merger. Read my reply to other doubts you will get more insight.

The concept of merger and acquisition has not one defined meaning it is used differently in context to different scenarios. No, the same concept cannot be applied in both these cases. The accounting treatment has to be different. Actually instead of bifurcating the problem on the basis of general concept as amalgamation or merger problem, it will be better to see the question as individual case and see what is happening in that particular case with both the companies.

Takeover can’t be said as different from acquisitions. When an acquisition is of hostile nature that is acquisition done not on friendly manner then it is called takeover generally. Generally it has been seen that acquisition which is a type of takeover the management is changed and business is operated in style if patent company.

Amalgamation is broader sense is also called a type of merger. So those who think amalgamation is also a different type of merger then there will be 3 companies in this A B ( existence of of A and B vanish ) and the new company formed C. But in the merger which is purely a merger there would be two companies A ( main company and exist after merger ) and B ( whose existence end after merger).
Idea behind the “term” merger is that the companies involved will work together using each other strength.
In acquisition the idea is to take control of other company by the parent company and enjoy the befits by the parent company only.
