There were two details that were missed that I thought were important. All of the board resigned when Sam came back, excpet for one. Adam D'Angelo from the original board is still on the board, and Microsoft's board seat is a non-voting seat. They're allowed to observe the actions, but not vote on them.

Because their AI wasn't ready (still Gemini's free version sucks compared to ChatGPT in many aspects) and also they'd have to come up with a new business model as over 60% of Google's revenue comes from Search.
