    This is super helpful. Would suggest you make this into a "How to deal with NDAs" TH-cam playlist as it'd help understand the order of these videos. Especially if they aren't starting with "Why NDAs Matter in the Real World"

    Laura, this is really actionable and defensible guidance. I was just remarking 2 days ago to some colleagues about how I came across a counter-party's NDA that was seeking indemnification and non-solicitation commitments. How de ja vu to see exactly these points addressed and validated by your video. Another point that has consistently troubled me (more generally beyond NDAs) is how indemnification is used. I thought its appropriate use is where the indemnitee wants the indemnitor to indemnify the indemnitee against third party actions that are triggered due to the indemnitor's breach of the commercial agreement between the indemnitee and indemnitor. I have always wondered whether it is appropriate or even meaningful to seek indemnifications in relation to the contracting party's direct breach itself since that liability is likely to be disputed and litigated anyway - perhaps the indemnity would at most be useful in the measure and extent of damages? I wonder if you might share your views on this topic sometime.

    You never define what an NDA is. People like you are so immersed in your field, you forget that others don’t use your initialisms.

      Thanks for pointing that out! An NDA is a non-disclosure agreement. It's the agreement we sign with counterparties when we are in the early stages of discussing a business relationship. In an NDA, the parties agree that they will not use or disclose the other party's confidential information. Most US companies enter into more NDAs than any other type of signed contract for the reasons I highlight in the video.

    The main question is, what exactly presents from Santa's workshop could be considered as controlled under EAR or ITAR if Santa doesn't involve US items/technology/services/software, etc., for manufacturing gifts (toys for little kids with good behaviour and intentions (are not under sanctions 😂))?
