      In a complex world today, accounting and finance is still needed. Without them there would be no one to fund and expand scientific discovery. This is just my humble opinion. If philosophy and humanity disappears, this would not be a world I would want to live in.

    Hi there, thanks for sharing all these information! Very easy to understand and digestible! Can I ask how do new start-up company (3 person) build their own board of directors? Given the overlap of responsibility that one person could have, what is the best company structure for such company?

      Sorry for the late reply. As a start-up, the aim of the Board will be different compared to an established company. It would be better if the Board comprises members who can help the start-up to establish itself. Expertise such as ability to get funding and innovation would be useful for a board member.

    Why would you possibly think that being more efficient in business would lead to less harm for society? One can be extremely efficient in destroying the environment, for example.

      Thanks for your comment. Indeed, you are right that companies can be efficient at destroying the environment. It is not my intention to suggest efficiency is equated to doing less harm to society. Companies must be run properly by understanding the impact it has on our society. Companies have a responsibility not just to its shareholders, but to all other stakeholders, directly or indirectly. Companies must be governed with empathy and compassion. Agency theory is not always the right framework to examine the responsibility of companies.

    Neoliberalism has been a 50-yr experiment in corporate governance. Can we honestly say that it has been better than when the State invested in public purpose and reined in capitalism with regulations? Unfettered privatization is like a wildfire, commodifying everything for the speculators to gamble with, expecting bailouts and QE, so never suffering consequences. Financialization has destroyed the world.

I always knew that CG shall serve the interest of share holders but didn’t see it from the perspective of CG is the owners risk mitigation for essentially the information asymmetry problem. Would you say that CGs most profound focus/objective shall be transparency (meaningful information of course) towards owners and stakeholders?

      Like many companies in Asia and Europe, Samsung is a family-owned company. So the key issue is the difference in interest between the controlling family and the minority shareholders.
