    I've never signed a non-compete agreement. They never fired me, and 18 month later, I left that job and started my own junk removal businesses in florida. I was working as a W2 employee, but the employer was paying me as 1099 independent contractor. Today, I received a text message from this former employer saying that I violated the non-compete agreement and he is going to sue me if I don't close my new business. While I was working for that company, I was making $180 a day. Most of the time, I worked from 9 to 14 hours a day without benefits and no overtime pay Does anyone in here know if this becomes a legal issue or not?

      My suggestion is that you locate an employment attorney in the state in which your former employer is located. Based on what you have said, the attorney would be able to advise you if there were any violations by the employer of state or federal wage laws or other regulations regarding employment. They will also be able to advise if there are any valid claims by the employer for violation of a noncompete. Make sure you locate a lawyer who represents employees and not just employers.

    This is going to be a major shift in the sales industry. Every rep I know in medical has a non compete over them. They essentially have to switch industries or relocate to change jobs. It has let the companies mess with pay structure for far too long because they have come to realize the reps are essentially stuck unless the FTE wants to learn a new industry or territory.

    Hi can you help if you have an LLC and you have Court violations towards the LLC and you're planning to dissolve to put as a sole proprietorship can you do that and can the violations go towards your own name as owner sole proprietorship so you can address the violations in your own name because as LLC you cannot represent yourself or your company you can only represent yourself in your name so was going to go back to sole proprietorship anyway might as well do it now can you verify what the violations currently also be transferred to my name or no?

    Katherine. Thanks for the videos you've done on this topic. Very well done and informative. I'm a CPA in Texas who feels obligated to educate my clients about the CTA, and offer to file on their behalf. I believe I hear you referring to some resource links in your videos, but am unable to find those links. Also, do you know where I might could find some "checklists" to help my clients identify the steps and the required documents so they can comply with the CTA regulations? Randy

And, thank you for the complements. I have done several presentations on this subject and, while the rules are not complex, the language and terms are new which takes a while to get comfortable with. Your idea of a checklist of documents for clients to get together is a great idea.

    If the LLC is a single member LLC for asset protection on a single property, is the property the "capital Contribution" for the operating agreement, and if so do you list the property as the contribution or the estimated value of the property

    Is C Corp and Close corporation the same?

      Not at all. A "C" Corp means a corporation taxed under Subchapter C of the Internal Revenue Code (as opposed to an "S" Corp.) See my video on S Corps!

      I do know that many businesses use business suite addresses when they have physical space there. Whether a virtual office suite is acceptable is not clear and may be dependent on what state your business is in.

      I’m trying to figure out the same thing , it’s so confusing because people are using business address interchangeable with principal address. I’m trying to avoid using my home address but it’s becoming discouraging finding a straight forward answer . I was able to change my business address through my Secretary of State but it’s still showing my home address under principal. I’m in CT btw
