Very odd shift from Form 3922 to other topics.
Actually its not 86%, because taxes work on a progressive scale. The entire amount is taxed at different levels where 37% is your marginal tax rate.
In the video I said, "the highest tax rate some people pay on their RSUs." not "average total tax on their income." Technically, 86% is still correct-given the context. If their salary already puts them in the highest tax brackets, then any subsequent RSUs vesting would be taxed at that highest rate-37% federal, 37% short-term capital gain (which is the double taxation mistake), and 12% state. I could have been more clear by using the word "marginal tax rate"-you are correct. Thank you for catching that.
Appreciate the video and the call out about two main factors impacting the amount of prior credit that can be used. At the end of the video you mentioned tax laws set to change. Can you link to more specifics and how they will impact AMT and prior year minimum credit carryover rules.
I ran projections on my tax planning software to uncover the tax effects of 2017's TCJA on AMT and the credit. Doing a quick google search, this seemed to cover how it impacts AMT: www.taxpolicycenter.org/briefing-book/how-did-tcja-change-amt-0
For pre-IPO stocks, if I sell to other parties at the same year as exercising at a different price than the FMV when I exercise, how is the tax calculated? Is FMV going to be used or sale price going to be used?
**You'll want to work with a tax professional for your specific situation** When one sells ISOs (disqualifying disposition), the spread at exercise (known as the bargain element or the compensation element) will use the 409A's FMV to determine the spread. That spread will be taxed as ordinary income and reportable on form W2 (no FICA tax for ISOs). Any subsequent gain-spread from the 409a to 3rd party's purchase price- will be considered short-term capital gain. I hope that helps!

Thank you so much for sharing - I encountered this situation this year. I still checked the box "yes" in the "uncommon tax situations" for "exercise but not sale" of options in previous year; but I did not enter an adjustment amount since that adjustment was already recorded in the income section with the information coming straight from the form 3921, issued to me from the employer. I agree that TurboTax's system is misleading to make you enter that information twice. If the IRS asks any questions, I'll be fine because I reported that 1) Yes, I received a 3921 and included the information on that part of the interview, and 2) Yes, I did exercise but did not sell that stock. So if I do sell that stock in the future and there is any question about what I owe in capital gains taxes from the future sale, I will have this in my record that I disclosed this information. 👍

But is under-witholding not in your best interest? You get a interest-free loan?
Under-withholding can be detrimental for 3 reasons: 1) The IRS can charge penalties if one doesn't withhold enough throughout the year. 2) Having had worked with a lot of people in the space, I know it causes more surprises to people than not. 3) I'm personally not a big fan of the whole idea of "interest-free" loans when referring to taxes. Why? Because if you're on the receiving end (of an "interest-free loan"), the tax is still due in a year or less...In other words, there's not a huge opportunity cost at stake. It's very risky to invest that money or lock it if you need it in 2 months (for example) from now to pay taxes.
