Hi, thanks for your comment! Yes, in my first company I had a business partner who was not residing in Sweden. In this case, I had to make sure at least >50% of the shares were owned by partners residing in Sweden. The other partner then had a "minority" stake and just had to submit their ID document, in this case we submitted a passport with the person's birthdate listed (think like a personnummer abroad) and their social security number I believe also had to be provided. Once you submit the minority partner's documentation, the rest of the application is just as I described. Good luck !

i registered my company as sole trader/enskild firma, i registered for MOMS and F-SKATT everything is setup, i have all the legal documents from the client i did work for. All the invoices, their full names, their addresses from the people who have helped me in this project (they are also freelancers) and despite all that, nordea bank still refused to open nordea business account and SEB bank denied too with a reason "risk for terrorism and money laundering" like wtf is this?? the freelance work i do is my job and income, and these banks are basically restricting me from having a job, income and future. Im thinking as a last resort is to contact a lawyer and take this case to court or something, because this is crazy. What do you think?
Hi, I'm so sorry to hear about your situation, sounds awful. The banks should definitely give more constructive and informative reasons as to why they rejected your application smh. Full disclosure, I'm not a lawyer, so I do think it's best you seek counsel from a qualified attorney. However, if those banks rejected your application, it must be on the grounds of lack of documentation (they can be really picky) so make sure you have your personnummer, your registration paperwork, and all that AT ONCE when you submit these applications to the banks. Otherwise, the banks make your life harder by throwing out your case instead of pointing out what is missing from it. If you did submit everything required already, then seek legal counsel or try a different bank like Handelsbanken? That's my 2 cents, sorry if I can't be of more help! What happens to the 25000sek you deposit in the bank.. in the case that the business registration process didn't work out successful at the agency ?
It's rare for the registration to not be approved if you meet all the requirements for registering a business in Sweden. Regardless, I believe that if they don't end up approving it, you need to notify the bank official of your rejection from Bolagsverket and then they just return the money to your personal account.

Hi, if you would like to pursue farming, it really depends on the scale of your operations - is it as a hobby or own-consumption, or do you want to make it into a for-profit business? For the former, you don't need to do anything other than start. For the later though, you might require some agricultural or farming permits, depending on the kinds of things you want to grow, where you have your land, how you acquire said land, how much of it you own, and how and to whom you intend on selling your products. Nice video Frankie, very helpful. I have a few questions, would really appreciate your take on it. I have a regular job and would like to start freelancing as well in digital marketing. Is there is a maximum yearly revenue exceeding which I should register a company? Or does everyone freelancer with a regular job regardless of the amount have to register a company? About VAT, if I were to work with countries outside Europe do we or do not register VAT, I didnt quite catch about the 80K SEK part. Would you mind elaborating a little?
Hi, thanks for watching. Here are some pointers in regards to your questions: 1. About your potential freelance business alongside your employment status: Generally, whenever you conduct freelance business in Sweden and with Swedish entities, you must register as a sole trader even if you do not invoice a large sum of money. This, of course, depends on a lot of variables: e.g. are you a resident of Sweden? do you work as an independent trader such that your employer becomes your first client? would you rather pay a fee to be "employed" as a freelancer by third-party agencies like Cool Company and Frilans Finans that act as your second employer and through which you can invoice your services, rather than register as a sole trader business yourself? These are all variables that affect what I would suggest in your case. However, if you would like to learn more about what qualifies as "freelancer business-worthy" services, check these 2 webpages from Skatterverket (Swedish tax agency): what constitutes a business (i.e. sole trader) activity in Sweden? www.skatteverket.se/foretag/drivaforetag/startaochregistrera/vadarnaringsverksamhet.4.6efe6285127ab4f1d25800025792.html what taxes considerations are there for people who are both sole traders and have regular income as employees? www.skatteverket.se/servicelankar/otherlanguages/inenglishengelska/businessesandemployers/startingandrunningaswedishbusiness/registeringabusiness/approvalforftax.4.676f4884175c97df4192308.html 2. However, you can always choose to become subject to VAT even if you do not exceed the threshold of SEK 80,000. If you conduct business that is VAT-liable, your invoices will have to include VAT, even if you do not exceed the threshold. Whether your business services are VAT-liable or not depends on the entities you will be invoicing within or outside of the EU. Interesting. I guess you also need to consider cost of accounting and liquidation fees if wanted to close company. Sometimes people open business for few deals and then forget. Then tax office will start hunting them down for unsubmitted annual reports.
Yes, definitely, you need to have your accounting in order if you close the business at any point, of course!

Can I do small business in parallel to my job ? Without affecting my job working hours... Is it legal to do both parallallly for foreign people?
You definitely can do both (legally speaking), however, there are employers that limit what you can do outside of your full-time job. My advice is that you read your employee contract very well before signing anything because many tech or consulting companies that I know in Stockholm (for example) will have a clause that "forbids" you from taking on what they consider "side projects" that according to them "distract you from the work / compete with your full-time job". Be aware of those clauses because they are limiting what you do OUTSIDE of your 9 to 5. Good luck!

At least 51% of your business partners/shareholders need to be Swedish residents (so yes, those would have to have a personnummer) in order to register as a limited liability company (aktiebolag) in Sweden. The other 49% of company shareholders can be from other countries (they just need to submit a passport copy & birthdate with the application on Verksamt.se)

Thank you for your comment! As a student, as long as you enroll in a min 2-year degree here you will get a personnummer. With a personnummer, you can start a business like mine (aktiebolag). Typically in the first 1 to 2 years of your business in Sweden you might not need one.
